Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Kynthar's document intelligence platform (“Service”). By accessing or using the Service, you agree to be bound by these Terms.

Important: Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Definitions

  • “Kynthar,” “we,” “us,” or “our” refers to the Service provider
  • “Customer,” “you,” or “your” refers to the individual or entity using the Service
  • “Service”refers to Kynthar's AI-powered document intelligence platform, including all features, APIs, and integrations
  • “Customer Data” refers to documents and information you upload or provide to the Service
  • “Subscription” refers to your paid access to the Service under a selected plan

2. Acceptance of Terms

By creating an account, you represent and warrant that:

  • You are at least 18 years old or the age of majority in your jurisdiction
  • You have the legal authority to enter into this agreement on behalf of your organization (if applicable)
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and current

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information, including:

  • Valid email address
  • Secure password
  • Company name (for business accounts)
  • Billing information (for paid plans)

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use or security breach
  • Using strong passwords and enabling two-factor authentication (when available)

3.3 Account Sharing

You may not share your account credentials with unauthorized users. Enterprise accounts may have multiple authorized users under a single subscription.

4. Subscription Plans and Billing

4.1 Pricing and Plans

We offer multiple subscription tiers with document-based pricing:

  • Free Trial: 100 documents within a 14-day trial period with no credit card required
  • Starter: $249/month (or $2,490/year) for 500 documents/month with $0.50/document overage
  • Pro: $599/month (or $5,990/year) for 2,500 documents/month with $0.30/document overage
  • Scale: $1,199/month (or $11,990/year) for 5,000 documents/month with $0.20/document overage
  • Enterprise Plan: Custom pricing for 10,000+ documents/month with volume discounts

Document counts include all sources: direct uploads, email ingestion, and API submissions. Annual plans provide a 17% discount (equivalent to 2 months free). Current pricing is available at kynthar.com/#pricing. We reserve the right to change pricing with 30 days' notice to existing customers.

4.2 Billing

  • Payment Method: All paid plans require a valid credit card or other approved payment method
  • Billing Cycle: Subscriptions are billed monthly or annually in advance, depending on your selected billing period
  • Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
  • Failed Payments: If payment fails, we will attempt to collect payment for up to 7 days. After that, your account may be suspended
  • Overages: If you exceed your plan limits, you will be charged per additional document at your plan rate (Starter: $0.50/document, Pro: $0.30/document, Scale: $0.20/document) or prompted to upgrade
  • Document Counting: Each document processed counts as one unit toward your monthly or trial limit, regardless of page count.

4.3 Refunds and Cancellations

  • Cancellation: You may cancel your subscription at any time from your account settings
  • Effect of Cancellation: Access continues until the end of your billing period; no partial refunds
  • Refund Policy: We offer a 14-day money-back guarantee for first-time subscribers. After 14 days, subscriptions are non-refundable
  • Account Deletion: To delete your account and data, email support@kynthar.com

4.7 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe to charge your payment method. Your payment data is handled per Stripe's privacy policy (stripe.com/privacy) and PCI-DSS compliance standards. Kynthar does not store complete credit card numbers.

5. Service Description and Availability

5.1 What We Provide

Kynthar provides an AI-powered document intelligence platform that:

  • Extracts data from invoices, receipts, and purchase orders
  • Converts unstructured documents into structured data
  • Integrates with accounting software (QuickBooks, Xero, etc.)
  • Provides APIs for custom integrations

5.2 Service Level

  • Availability: We strive for 99.9% uptime (excluding scheduled maintenance)
  • Maintenance: Scheduled maintenance will be announced at least 48 hours in advance
  • Support: Email support for all plans
  • Response Times: We aim to respond within 1-2 business days

5.3 Service Limitations

The Service is provided “as is” and “as available.” We do not guarantee:

  • 100% accuracy in data extraction (typical accuracy is 95%+)
  • Uninterrupted or error-free operation
  • Compatibility with all document formats or languages
  • Specific response times

5.4 AI Processing Accuracy

The Service uses AI/LLM technology for document extraction. While we target 95%+ accuracy on well-formatted documents:

  • (a) We do not guarantee 100% accuracy;
  • (b) AI extraction may produce errors, omissions, or misinterpretations;
  • (c) Document quality affects accuracy;
  • (d) You are responsible for verifying all extracted data before use in payments, financial statements, or business decisions.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful business purposes, including:

  • Processing invoices, receipts, and purchase orders
  • Automating accounts payable workflows
  • Extracting data for accounting and bookkeeping
  • Integrating with your existing business systems

6.2 Prohibited Use

You may NOT use the Service to:

  • Illegal Activities: Process documents related to illegal activities, fraud, or money laundering
  • Abuse: Send excessive requests, attempt to overload systems, or reverse-engineer the Service
  • Unauthorized Access:Attempt to access other customers' data or bypass security measures
  • Scraping: Use automated tools to scrape or harvest data from the Service
  • Reselling: Resell or sublicense the Service without written permission
  • Competing Service: Use the Service to build a competing product
  • Sensitive Content: Upload documents containing child exploitation material, weapons designs, or other prohibited content

6.3 Rate Limits and Quotas

We enforce the following limits to ensure fair use:

  • API Rate Limits: 100 requests per minute (can be increased for Enterprise)
  • Document Size: Maximum 25MB per document
  • Concurrent Processing: Up to 10 documents processed simultaneously (Free/Starter)

7. Data Ownership and Privacy

7.1 Your Data

You retain all ownership rights to Customer Data. We claim no intellectual property rights over your documents or data.

7.2 Our Use of Data

We use Customer Data only to:

  • Provide the Service (document processing, extraction, storage)
  • Improve AI models (anonymized and aggregated only)
  • Troubleshoot issues and provide support
  • Comply with legal obligations

7.3 Model Training

With your consent (opt-in), we may use anonymized, aggregated data to improve our AI models. You can opt out at any time in your account settings.

7.4 Data Deletion

When you delete a document or account:

  • Documents are soft-deleted immediately and permanently deleted within 30 days
  • Backup copies are retained for 30 days, then securely destroyed
  • Anonymized, aggregated analytics may be retained

8. Intellectual Property

8.1 Our IP

Kynthar owns all rights to:

  • The Service, including software, algorithms, and AI models
  • Our trademarks, logos, and branding
  • Documentation, APIs, and SDKs
  • Any improvements or derivatives we create

8.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period, subject to these Terms.

8.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without obligation or compensation to you.

9. Confidentiality

Both parties agree to keep confidential information disclosed during the provision or use of the Service confidential, including:

  • Customer Data and business information
  • Pricing and terms (for custom Enterprise agreements)
  • Technical implementation details
  • Security vulnerabilities or incidents

Confidentiality obligations survive termination of these Terms.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Service will perform materially in accordance with our documentation. If it does not, we will use commercially reasonable efforts to correct the issue.

10.2 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • That the Service will be uninterrupted, error-free, or 100% accurate
  • That defects will be corrected
  • That the Service is free from viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
  • WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, INCLUDING UNAUTHORIZED ACCESS OR DATA BREACHES NOT CAUSED BY OUR NEGLIGENCE

11.4 AI Extraction Exclusions

Without limiting the foregoing, Kynthar shall have no liability for:

  • (a) payments made based on incorrectly extracted amounts;
  • (b) duplicate payments resulting from extraction errors;
  • (c) missed discounts due to incorrect date extraction;
  • (d) vendor relationship issues due to erroneous data;
  • (e) financial reporting or tax filing errors based on extracted data;
  • (f) any business decisions made based on AI-generated output.

You are solely responsible for verifying all extracted data.

12. Indemnification

You agree to indemnify and hold Kynthar harmless from claims, damages, and expenses (including legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your Customer Data (including claims of infringement or violation of law)
  • Your violation of applicable laws or third-party rights

13. Term and Termination

13.1 Term

These Terms begin when you create an account and continue until terminated by either party.

13.2 Termination by You

You may terminate at any time by canceling your subscription or deleting your account. Access continues until the end of your billing period.

13.3 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment fails and is not resolved within 7 days
  • We are required to do so by law
  • You engage in fraudulent or abusive behavior

13.4 Effect of Termination

Upon termination:

  • Your access to the Service is immediately revoked
  • You may export your data within 30 days (after that, data is deleted)
  • Outstanding fees remain due
  • Sections 7, 8, 9, 10, 11, 12, and 15 survive termination

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new “Last updated” date
  • Sending an email to your registered email address at least 30 days before the changes take effect

Your continued use after changes take effect constitutes acceptance. If you do not agree, you may cancel your subscription.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes will be resolved through:

  • Informal Resolution: Good-faith negotiation for 30 days
  • Binding Arbitration: If negotiation fails, binding arbitration under AAA Commercial Arbitration Rules
  • No Class Actions: You waive the right to participate in class actions or class arbitrations

15.3 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond their reasonable control (natural disasters, wars, pandemics, internet outages, etc.).

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kynthar regarding the Service.

15.5 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.6 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor.

15.7 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.
